We are an approved company secretaries firm which was registered as a secretary under the Companies (Secretaries) Regulations 1987 at the Registrar of Companies and providing all the company secretarial services including incorporation of Private Limited Liability Company.

Incorporation Process

1. If you select us as your business Consultant, you have to provide the following information to us by e mail, imo, whatsapp, Viber or post.

• Name of the Proposed Company. If there is abbreviation in the company name, you have to explain the said abbreviation.
• Registered address of the proposed company
• Grama Niladhari division of Registered address
• Company E mail address
• Initial Directors’/Shareholders’ Name, Residential Address, NIC/Passport No. (Copy is required), e mail address, Telephone/Mobile and number of shares per each shareholder
2. After receipt of the aforementioned information, we will request you to deposit first advance payment in our account as per our quotation in order to apply for the name approval. The Government Charges for name approval is Rs. 2,697.90. (It takes one or two days.)

3. Once your company name is approved, you have to incorporate the company within three months as the name reservation is valid only three months. In this connection, we will send the following documents for signatures and request you to deposit second advance payment as per our quotation in order to incorporate the company. The government charges including VAT 15% and 2% convenience Charges for filing the said forms and documents are given below for your kind information.

• Form 01 – Application for registration of a company (Gov. Charges -Rs. 5,395.80)
• Form 18 – Notice of Consent and certificate of Director. If there is more than one initial director, Form 18 has to be filed separately for each director (Gov. Charges -Rs. 2,697.90 for one Director)
• Form 19 – Notice of Consent and certificate of Secretary/Secretaries (Gov. Charges - Rs. 2,697.90) ( we will send this form only for information purpose as it will be signed by us)
• Articles of Association - (Gov. Charges - Rs. 2,697.90)

4. We have to apply for one certified copy of the Form 01 as it is required for various business activities. (Government charges - Rs. 1,348.95)

5. If you unable to visit our office, you can scan and email the aforementioned documents to us.

6. Then we will submit the said documents to the ROC by paying the relevant charges.

7. You can collect the Incorporation certificate from us within few days after settlement of our balance payment. If you want to open a bank account, we will issue the certified copies of the relevant documents together with the board resolution for opening a bank account. If you unable to visit our office to collect the said documents, we will send you by using Government Express Mail Services or by courier.

8. As a help we will provide free consultation for our customers regarding designing accounting and internal control system, obtaining an EPF/ETF registration, Obtaining TIN Certificate, Tax implication, obtaining a BOI approval, Exports/imports procedures, Exchange control regulations etc…
